Terms of Service

The agreement between your business and AX Aagile XaaS LLP for using AXOFFICE. Last updated 4 October 2026.

Important

These terms are being finalised with our legal advisers and take effect before AXOFFICE launches. Until then, they show how we intend to work.

1. Who we are

These Terms of Service (“Terms”) are an agreement between you and AX AAGILE XAAS LLP (“AX Aagile XaaS”, “we”, “us”), a limited liability partnership registered with the Securities and Exchange Commission of Pakistan under number 0347727, with its registered address at Villa No. C-58, Block 16, Gulistan-e-Johar, Karachi 75290, Pakistan.

They cover AXOFFICE (also called AXO) — our software, website, documentation, APIs and the support we provide (together, the “Service”).

“You” means the business or organisation that signs up, and the person accepting these Terms on its behalf. By creating an account or using the Service, you confirm you have authority to bind that business to these Terms.

2. Your account

  • You must be at least 18 and use the Service for business purposes.
  • Give us accurate information and keep it up to date.
  • You're responsible for everyone you invite into your company, and for what they do there — including the roles and permissions you give them.
  • Keep sign-in details secret, turn on two-step sign-in for anyone who can approve payments, and tell us straight away at support@tryaxo.com if you think your account has been misused.

3. What AXOFFICE does, and what it doesn't

AXOFFICE is software for keeping your business's records — sales, purchases, banking, inventory, payroll, accounting and tax. It calculates and prepares; you decide.

  • It isn't professional advice. Nothing in the Service, including answers from Ask AXO, is accounting, tax, legal or financial advice. Check important figures and decisions with a qualified adviser.
  • You're responsible for your books and filings. You decide what to post, and you're responsible for the accuracy of your records and for filing returns and paying taxes on time.
  • AXOFFICE records payments; it doesn't move money. Releasing a payment in AXOFFICE doesn't transfer funds, and connections to payment providers are read-only.
  • Some features aren't available yet, including FBR e-invoicing submission and direct bank feeds. Our documentation says what isn't available. We don't promise dates for future features.

4. AI features

AI features — such as Ask AXO, drafted entries, suggested bank matches and connections through our MCP server — produce suggestions and drafts, and they can be wrong. A person must review and approve anything before it's posted, and the Service is built so that AI can't post, approve or pay on its own.

If you connect your own AI assistant through MCP, that assistant is provided by another company under its own terms, and you decide what it can reach through the keys you create.

5. Plans, billing and the launch offer

  • Plans are billed in US dollars, in advance, every 30 days, through our payment partner Whop. Whop processes your payment details; we don't store card numbers.
  • Each plan's price, and what it includes, is shown on our pricing page and at checkout.
  • Launch offer: new subscriptions get 90% off the plan price for the first six billing cycles. From the seventh cycle, the full plan price applies automatically. The checkout shows both prices before you pay.
  • Subscriptions renew automatically until they're cancelled.
  • Prices don't include taxes that may apply where you are; you're responsible for those.
  • We may change prices. We'll give you at least 30 days' notice by email, and a new price applies from your first billing cycle after that notice period.
  • There's no free tier and no free trial.

6. Refunds

If AXOFFICE isn't right for you, ask within 14 days of your first payment for a subscription and we'll refund that payment in full. Email support@tryaxo.com from your billing email address. The refund goes back to your original payment method through Whop and can take several business days to appear, and your subscription ends when it's made.

After those 14 days, payments aren't refundable, except where the law requires it or where we've charged you in error. Cancelling stops future charges; it doesn't refund the billing cycle you're in.

7. Late or failed payments

If a payment fails, your account is marked past due and we'll email you. After a grace period the account is limited: you can still sign in and read and export everything, but you can't add or change records until payment is made. Paying restores full access straight away. If your subscription ends because payment wasn't made, section 8 applies.

8. Cancelling, and what happens to your data

  • You can cancel at any time from Settings › Plan & billing, or by emailing support@tryaxo.com. Your plan stays active until the end of the billing cycle you've paid for.
  • When your subscription ends, your company becomes read-only for 90 days. During that time you can sign in, view and export all your data, or resubscribe and carry on where you left off.
  • After those 90 days, we permanently delete your company's data from the Service. We'll email the account owner before that happens.
  • Copies held in our backups are overwritten on their normal cycle after deletion.
  • We keep records we're required to keep by law — for example, our own billing and tax records about your subscription.
  • Downgrading to a smaller plan doesn't delete anything. Records over the new plan's limits stay, but you can't add more until you're within them.

9. Your data

You own the data you put into AXOFFICE — your company's records and documents, and the information in them about your customers, vendors and employees (“Your Data”).

You give us permission to host, copy, process and display Your Data only as needed to provide, secure and support the Service. We don't sell Your Data, and we don't use it to train AI models.

You're responsible for having the right to put Your Data into the Service — including personal data about your employees, customers and vendors — and for giving those people any notices the law requires. Our Privacy Policy explains how we handle personal data.

You can export Your Data at any time while your subscription is active, and during the 90 days after it ends.

10. Acceptable use

You agree not to, and not to let anyone else:

  • use the Service for anything illegal, fraudulent or harmful, including keeping false or misleading records;
  • try to reach another company's data, or test, probe or break the Service's security without our written permission;
  • copy, resell or reverse-engineer the Service, or use it to build a competing product;
  • overload the Service, get around its usage or rate limits, or use the API in ways that harm other customers;
  • upload malware, or content you don't have the right to use.

We may suspend access if we reasonably believe these rules are being broken or the Service is at risk. Where we can, we'll tell you first and give you the chance to put it right.

11. Integrations and other companies' services

You can connect AXOFFICE to other services, such as QuickBooks, Xero, Stripe, Shopify, WhatsApp or Zapier. Those services are provided by other companies under their own terms. You choose what to connect and you're responsible for the access you grant. We're not responsible for those services, or for changes they make that affect a connection.

12. Availability and support

We work to keep the Service available and secure, but we don't guarantee it will be uninterrupted or free of errors. We may carry out maintenance and change or improve features. If we remove a major feature that's part of your plan, we'll tell you in advance.

Support is by email at support@tryaxo.com. Service levels beyond these Terms apply only if they're set out in a separate written agreement, such as an Enterprise agreement.

13. Confidentiality and security

We keep Your Data confidential and protect it with technical and organisational measures suited to the Service, described in our Privacy Policy. If we become aware of a security incident affecting Your Data, we'll tell you without undue delay.

14. Our intellectual property

The Service — including its software, design and documentation, and the AXOFFICE and AXO names and logos — belongs to us or our licensors. These Terms let you use the Service while your subscription is active; they don't transfer ownership of anything. If you send us feedback or ideas, we may use them without any obligation to you.

15. Disclaimers

Except as set out in these Terms, the Service is provided “as is” and “as available”. To the extent the law allows, we make no other promises or warranties, express or implied — including that the Service is fit for a particular purpose, or that its output, including calculations and AI suggestions, will be complete or free of errors.

16. Limitation of liability

To the extent the law allows:

  • neither of us is liable to the other for indirect or consequential loss, or for loss of profits, revenue, business or goodwill;
  • our total liability arising from these Terms or the Service, in any 12-month period, is limited to the amount you paid us for the Service in the 12 months before the event that led to the claim.

Nothing in these Terms limits liability that the law doesn't allow to be limited, such as liability for fraud.

17. Indemnity

You'll compensate us for reasonable losses and costs arising from a claim brought by someone else that's caused by Your Data, by your breach of these Terms, or by how you or your users use the Service.

18. Ending these Terms

You can end these Terms by cancelling your subscription. We can end them, or suspend the Service, if you seriously or repeatedly break them, if payment is still outstanding after the grace period, or if the law requires us to. We may also stop offering the Service altogether with at least 90 days' notice, during which you can export Your Data. Terms that by their nature should continue after the end — such as those about data deletion, liability and governing law — continue.

19. Changes to these Terms

We may update these Terms. If a change is significant, we'll tell you by email or in the Service at least 30 days before it takes effect. If you keep using the Service after that, the updated Terms apply. If you don't agree, you can cancel before the change takes effect.

20. Governing law and disputes

These Terms are governed by the laws of Pakistan. The courts of Karachi have exclusive jurisdiction over any dispute arising from them, except that either of us may seek urgent relief in any court with jurisdiction. Before going to court, we'll both try in good faith to settle the dispute by discussion for at least 30 days.
